1. Acceptance of Terms

Welcome to Lectavia. These Terms of Service ("Terms") govern your access to and use of Lectavia's website, products, and services (collectively, the "Service").

Please read these Terms carefully before using our Service. By using the Service, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and Lectavia, established in Portugal and operating under applicable European Union laws.

Lectavia provides an intelligent solution router for business process optimization based on context. Our services may include, but are not limited to:

  • Access to business process routing platform
  • Process analysis and optimization
  • Decision automation tools
  • Analytics and reporting
  • Integration with external systems
  • Technical support and consultation

3. User Accounts

To access certain features of our Service, you may need to create an account. You are responsible for:

  • Providing accurate, current, and complete information during registration
  • Maintaining the confidentiality of your password and restricting access to your account
  • Notifying us of any unauthorized use of your account
  • Complying with all applicable laws when using our Service

We reserve the right to disable any user account at any time in our sole discretion, including if we believe you have violated these Terms.

4. Intellectual Property Rights

You may not copy, modify, distribute, sell, lease, transfer, or create derivative works based on our Service without Lectavia's explicit written permission.

5. User Data

You retain all rights to the data you upload, process, or otherwise provide to the Service ("User Data"). By providing User Data to us, you grant Lectavia a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit such User Data solely for the purpose of providing and supporting the Service.

We will not disclose, sell, rent, or exchange your User Data with third parties except as set forth in our Privacy Policy or with your explicit consent.

6. Payment and Subscription Terms

Some aspects of our Service are offered on a paid basis. When paying through our Service:

  • You agree to provide current, complete, and accurate purchase and account information
  • You agree to promptly update account and payment information
  • Your subscription will automatically renew unless you cancel it before the end of the current period
  • You may cancel your subscription at any time through your account settings

All prices are exclusive of applicable taxes unless stated otherwise. We reserve the right to change our prices at any time. We will notify you of any price changes in advance.

For customers in the European Union, you have the right to cancel your subscription within 14 days of purchase without giving any reason, in accordance with the EU Consumer Rights Directive. However, if you have accessed or used the Service during the cancellation period, you will be charged for the period during which the Service was used.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Lectavia, its directors, employees, partners, agents, or suppliers will not be liable to you for:

  • Any direct, indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, or other intangible losses
  • Any unauthorized access to, alteration of, or deletion of your data
  • Any errors, viruses, or other harmful components that may be transmitted through our Service

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited by law

8. Indemnification

You agree to indemnify, defend, and hold harmless Lectavia, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

9. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our discretion. We will provide reasonable notice of any material changes not less than 30 days prior to their effectiveness.

By continuing to use our Service after the posting of any changes, you agree to follow the updated Terms. If you do not agree with the new terms, you are no longer authorized to use the Service.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

For users who are consumers and reside in the European Union, these Terms are subject to the mandatory consumer protection provisions of your country of residence.

Any disputes arising out of or in connection with these Terms or your use of the Service shall be finally settled by arbitration in accordance with the rules of the International Chamber of Commerce by one or more arbitrators appointed in accordance with said rules. The language of arbitration shall be English and the place of arbitration shall be Lisbon, Portugal.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
